Terms of Service

1. Acceptance of Terms

By accessing and using ContractLens ("the Service"), you accept and agree to be bound by these Terms of Service. If you do not agree to abide by these terms, you must not use the Service. These terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

ContractLens provides AI-powered analysis of Australian property contracts of sale across all states and territories (NSW, VIC, QLD, WA, SA, TAS, ACT, NT). The Service uses artificial intelligence to identify potential risks, key dates, and important clauses in property contracts uploaded by users, and generates plain-English analysis reports with risk scores and recommendations.

3. User Accounts

3.1 Registration

You may create an account to access certain features of the Service, including purchasing analyses and managing subscriptions. You must provide accurate, current, and complete information during registration and keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account by emailing support@contractlens.au.

3.3 Account Eligibility

You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you are at least 18 years old.

4. Uploaded Content

You retain full ownership of any contracts or documents you upload to the Service. By uploading content, you grant ContractLens a limited, non-exclusive license to process and analyze the content solely for the purpose of providing the Service and generating your analysis report.

You represent that you have the right to upload any documents you submit and that the content does not violate any third party's intellectual property rights.

5. AI Analysis Disclaimer

Important: The AI analysis provided by ContractLens is for informational and educational purposes only. It does not constitute legal advice, conveyancing advice, or professional advice of any kind.

The analysis should not be relied upon as a substitute for professional legal advice from a qualified solicitor or conveyancer. ContractLens makes no guarantees about the accuracy, completeness, or reliability of any analysis provided. You should always consult with a qualified legal professional before making property purchase decisions based on our analysis.

ContractLens is not a law firm and is not engaged in the practice of law. No solicitor-client or conveyancer-client relationship is created by your use of the Service.

6. Pricing and Payment

6.1 Pay-Per-Scan

The Service charges a fee per contract analysis as displayed on the website at the time of purchase. The current price is AUD $29.00 per scan. Prices may change with notice.

6.2 Monthly Subscription

We offer an unlimited monthly subscription plan at the price displayed on the website (currently AUD $99.00/month). The subscription provides unlimited contract scans for the billing period. Subscriptions automatically renew each month unless canceled.

6.3 Subscription Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation:

  • Your subscription remains active until the end of the current billing period
  • No further charges will be made after cancellation
  • You retain access to unlimited scans until the paid period expires
  • No partial refunds are provided for unused days in the current billing period

6.4 Voucher Codes

Promotional voucher codes may be applied at checkout for a discount. Voucher codes are single-use per user and cannot be combined. ContractLens reserves the right to deactivate or modify voucher codes at any time.

6.5 Payment Processing

All payments are processed securely through Stripe, Inc. We do not store your credit card details. By making a payment, you agree to Stripe's Terms of Service and Privacy Policy.

6.6 Refund Policy

Payments for individual scans are non-refundable once the analysis report has been generated and made available to you, except as required by Australian Consumer Law. If an analysis fails to generate due to a technical error on our end, you will not be charged or will receive a full refund. Subscription payments are non-refundable for the current billing period upon cancellation.

7. Credits and Cashback

The Service may offer credit rewards when other users analyze contracts you previously uploaded. Credits are automatically applied to your next purchase. Credits have no cash value and cannot be transferred, sold, or redeemed for cash. Credits may expire if your account is inactive for 12 or more months.

8. Intellectual Property

The Service, including its original content, features, functionality, software, design, logo, and branding, is owned by ContractLens and is protected by international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from the Service without our express written permission. Analysis reports generated for you are for your personal use only.

9. Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload contracts you do not have the right to analyze
  • Attempt to reverse-engineer, decompile, or otherwise access the source code of the Service
  • Use automated systems (bots, scrapers) to access the Service
  • Share your account credentials with third parties
  • Resell or redistribute analysis reports to third parties without written permission
  • Attempt to circumvent payment requirements or subscription restrictions
  • Use voucher codes in a fraudulent or unauthorized manner
  • Interfere with or disrupt the integrity or performance of the Service

10. Limitation of Liability

To the maximum extent permitted by Australian law, ContractLens shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

  • Loss of profits, revenue, data, use, or goodwill
  • Any decisions made based on AI analysis reports
  • Financial losses arising from property transactions
  • Errors, inaccuracies, or omissions in analysis reports
  • Service interruptions or unavailability

Our total aggregate liability to you for all claims arising from or related to the Service shall not exceed the total amount you have paid to ContractLens in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless ContractLens, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Any content you upload to the Service

12. Service Availability

The Service is provided "as is" and "as available". We do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue the Service at any time without notice. We will make reasonable efforts to notify users of planned maintenance or significant service changes.

13. Australian Consumer Law

Nothing in these Terms excludes or limits any rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other applicable legislation that cannot be excluded or limited. Where any such law applies, our liability is limited to the minimum extent permitted by that law.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of the applicable Australian state or territory.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on this page with a revised "Last updated" date. For changes to pricing or subscription terms, we will provide at least 30 days' notice via email to your registered address. Your continued use of the Service after changes constitute acceptance of the revised Terms.
